WHO ARE 21 YEARS OF AGE OR OLDER AT TIME OF ENTRY. VOID ELSEWHERE AND WHERE
PROHIBITED OR RESTRICTED BY LAW. 

1.  Eligibility:  The Alcolo
Dirt Bike (the “Contest”) is open only to legal U.S. residents who are 21
years of age or older at the time of entry. Void elsewhere and
where prohibited or restricted by law. Employees, officers and
directors of the following entities and members of their immediate families
(defined as parent, child, sibling, spouse) or same households (whether related
or not) are NOT eligible to enter the Contest or win the Prize: NOCA Beverages
Inc. (the “Sponsor”), its parent company, subsidiaries, divisions, affiliates,
advertising and promotion agencies, as well as alcohol beverage licensees
(i.e., alcohol beverage suppliers, importers, wholesalers, distributors and
retailers). By participating in the Contest, entrants agree to abide by
and be bound by these Official Rules and the decisions of Sponsor which shall
be final and binding in all respects.  All federal, state and
local laws apply. 

 2.  Contest Submission Period:  Contest
begins at 12:00:01 a.m. Eastern Time (“ET”) on July 11, 2025, and ends at
11:59:59 p.m. ET September 1, 2025.                     

3.  How to Enter:  Internet
access and a valid Instagram account are required to enter the Contest.

1. Each
   submission must show a video of a stack of Alcolo or other slim twelve
   (12) oz cans (the “Stack”). Each Stack must have been constructed by hand
   and shall not be in contact with any item other than the ground on the
   bottom of the lowest can in the Stack. 
   No Stack shall have any binding agent or adhesive other than glue
   or tape. The Stack must stand for ten (10) seconds on video with a 360
   degree view of the Stack from top to bottom and the Stack must be shown falling
   on camera. In addition, each entry shall follow the rules included in Exhibit
   A.
2. Between
   August 26, 2025 – September 8, 2025, all eligible entries will be judged.  The highest Stack that adheres to the
   rules set forth herein shall be declared the Winner. In the event of a
   tie, judges chosen by Sponsor will select which video exhibits the most
   creativity and entertainment value. 
   The final decision of the judges are final. 

All entries must be received no
later than 11:59:59 p.m. ET on September 1, 2025. Receipt of entry may be
acknowledged but such acknowledgment does not constitute any representation of
eligibility for the Contest nor is it otherwise binding upon Sponsor. All
entries become the sole property of the Sponsor and receipt of entries will not
be acknowledged (except perhaps as noted above) or returned. No alterations or
forged entries are permitted. All entrants must have Internet access and a
valid e-mail address to enter the Contest.

4.  Entry
Restrictions:  Limit one (1) entry per person per day during the Contest
Period. Violation of this entry limit will result in only the initial
entry on any given day being accepted. Automated entries are prohibited
and any use of such automated devices will cause disqualification. But
Sponsor reserves the right to void all entries (and disqualify any entrant from
the Contest altogether as well as to prohibit such entrant from participating
in future promotions offered by Sponsor) if Sponsor determines in its sole
discretion that a given person has engaged in egregious, blatant or repeated
violations of the entry limit. Proof of submission of entry does not constitute
proof of receipt of same or proof of entry. All entries become the sole
property of the Sponsor. Sponsor assume no responsibility for illegible,
lost, late, damaged, incomplete, late or lost entries due to data or computer
glitches or other programming/technological/electronic error, malfunction or
failure of any kind, regardless of cause; and, all such entries are void. Data
rates may apply to entries submitted via mobile device.

5.  Prize: One (1) Prize will be available
to be awarded. Winner will receive one (1) Alcolo branded dirt bike personally
delivered by Whistlin Diesel.  Operating
a dirt bike is inherently dangerous and, even if all safety precautions are
followed and the dirt bike is operated in full accordance with the owner’s
manual, the operator may suffer a serious injury, such as paralysis or
dismemberment, or even death. Sponsor and its agencies have not obtained any
insurance for the winner’s benefit in conjunction with ownership and use of the
dirt bike and, to the fullest extent permitted by law, Sponsor and its agencies
disclaim any and all liability related thereto (regardless of legal theory).
 IF WINNER DOES NOT ACCEPT THE RISKS OUTLINED ABOVE AND/OR IF WINNER
DOES NOT AGREE TO THE PRECEDING DISCLAIMER OF LIABILITY BY SPONSOR AND ITS
AGENCIES, PRIZE WILL BE FORFEITED WITHOUT COMPENSATION OF ANY KIND AND AN
ALTERNATE WINNER MAY BE SELECTED.  Retail Value of the Prize
is $8,000.

 Alcohol beverages are not part of the
Prize. Prize will only be awarded to a verified winner with a street
address within the eligible U.S. and all costs and expenses associated with
Prize acceptance and use that are not specified herein are the sole
responsibility of the winner. If Prize is declined by potential winner, no
alternate prize or compensation will be awarded. 

 7.  Notification/Verification/Alternates:
Potential winner will be notified by e-mail on or about September 10,
2025, and potential winner will be required to sign an Affidavit of
Eligibility, Liability and Publicity Release in the presence of a Notary (where
lawful) and potential winner must return all required items to
Sponsor/Administrator for receipt within seven (7) business days of
initial notification or Prize will be forfeited and may be awarded to another
winner at Sponsor's sole discretion. In the event of noncompliance with
this requirement or if a potential winner cannot be contacted for any reason,
Prize will be forfeited without compensation of any kind and an alternate
winner may be selected. Alternative winners are subject to all eligibility
requirements and must return requested verification materials within seven (7)
business days of notification.    

8.  General Conditions:  Entry in
the Contest constitutes an entrant’s full and unconditional agreement to abide
by and accept the terms and conditions of these Official Rules. No prize
substitution except at Sponsor’s sole discretion. Prize is not transferable
except with Sponsor’s prior consent which may be granted or withheld in its
sole discretion without liability of any kind. All federal, state and local
taxes on the Prize are winner’s sole responsibility. By accepting the Prize,
winner waives the right to assert as a cost of winning the Prize, any and all
costs of redemption or travel to redeem the Prize and any and all liability
that might arise from redeeming or seeking to redeem the Prize including any
costs as to installation and use of same. All costs and expenses associated
with Prize acceptance and use that are not specified herein are the sole
responsibility of the winner. 

Taxes on the Prize are winner’s
sole responsibility. As noted above, winner will be required to complete a W-9
Taxpayer Information Form along with the Affidavit of Liability, Eligibility
and Publicity Release and will be issued a 1099 IRS Form (as the value of the
Prize equal/exceeds $600) or other tax documents required by law. Upon receipt
of the Prize, winner shall be required to comply with any and all applicable
federal, state and local law, rules and regulations.   

Sponsor makes no warranties, and hereby disclaims any and
all warranties, express or implied, concerning prize furnished in connection
with the Contest. 

9.  Releases:  By participating,
entrant indemnifies, releases and agrees to hold harmless (a) NOCA Beverages Inc.,
their parent companies, subsidiaries, divisions, affiliates, prize suppliers,
and advertising and promotion agencies; and (b) the directors, officers,
agents, representatives, shareholders, employees, successors and assigns of any
of the above organizations; from any and all liability arising from
participating in the Contest, any Contest-related activity and/or the
acceptance, receipt, possession or use/misuse of the Prize (as applicable).
Without limiting the foregoing, NOCA Beverages Inc. makes no representation,
warranty or guarantee of any kind regarding the Prize or any part thereof; this
includes but is not limited to the warranty of merchantability or fitness for
intended purpose. Released Parties are not responsible for injury to entrant’s
or any other person related to or resulting from participating in this Contest.
Except where prohibited by law, entry into the Contest constitutes winner’s
agreement to the use of his/her name, address (city, state), likeness, voice,
photograph or other indicia of persona and/or statements regarding the Sponsor
or the Contest for advertising, publicity and trade purposes by Sponsor and its
designees, without further compensation or any notice or approval of any
kind.  

10. Online/Website Entry Conditions:  In
the event of a dispute, entries will be deemed made by the authorized account
holder of each Instagram Account. The authorized account holder is the natural
person who is assigned to the Instagram Account. Potential winner agrees to
furnish requested documentation confirming potential winner’s status as the
authorized account holder. If such a dispute cannot be resolved to Sponsor’s
satisfaction, the affected entry will be deemed ineligible. Sponsor and its
agencies are not responsible for lost, late, damaged, illegible, misdirected,
incomplete entries, or for entries not received due to lost, failed, delayed or
interrupted connections or miscommunications, or to other electronic
malfunctions, delays, or errors of any kind in the transmission or receipt of
entries; or for defect of any kind which prevents a person from properly
accessing the Contest online/website. Sponsor is not responsible for incorrect
or inaccurate entry information, whether caused by online/website visitors or
by any human or technological error that may occur in the processing of entries
in this Contest. Sponsor reserves the right, in its sole discretion, to cancel
or suspend all or a portion of the Contest, should viruses, bugs or other
causes beyond control of the Sponsor corrupt the administration, security or
proper operation of the Contest. 

11.  Publicity and
Copyright License.

You grant Sponsor an exclusive, worldwide, perpetual,
irrevocable, unrestricted, royalty-free, sub-licensable and transferrable right
and license to exploit your Entry (including, without limitation, your name and
likeness and the names and likenesses of any and all persons in the Entry, and
any intellectual property rights (e.g. copyright, trademark, etc.) contained in
the Entry) in any media now or hereafter known, without any payment or other
consideration of any kind, or permission or notification, to you or any third
party, for any purpose, including, without limitation, your Entry and any
person’s property (physical, personal, intellectual property rights, and
indicia) contained therein. The foregoing grant includes, without limitation,
the right to reproduce, display, distribute, publicly perform, create
derivative works of, alter, amend, broadcast, edit, publish, use, merchandise,
license, sublicense, and adapt the Entry in any and all media now or hereafter
known, throughout the world, for any purpose, whether commercial in nature or
otherwise, including in contexts and circumstances that result in your Entry
being associated with a particular Sponsor or Sponsors. Accordingly, you hereby
waive any objection to, such use including without limitation, distribution,
reproduction, creation of derivative works of, public performance, or display
of your Entry, and any claim for compensation whatsoever in connection
therewith. Such waiver shall include any claim for infringement of any
so-called “Moral Right,” “Droit Moral” or similar right or interest.

12.  Caution:  ANY ATTEMPT BY A
PERSON TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A
VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE,
SPONSOR RESERVES THE RIGHT TO DISQUALIFY SUCH PERSON FROM THIS CONTEST (IF
APPLICABLE), PROHIBIT SUCH PERSON FROM PARTICIPATING IN FUTURE PROMOTIONS
OFFERED BY SPONSOR, AS WELL AS TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE
FULLEST EXTENT PERMITTED BY LAW. 

13.  Improper Conduct:  Sponsor,
in its sole discretion, may disqualify any entrant from participation in or use
of any or all portions of this Contest, and refuse to award the Prize if any
entrant engages in any conduct Sponsor deems to be improper, unfair, otherwise
adverse to the operation of the Contest or detrimental to other entrants of the
Contest. Such improper conduct includes, without limitation, use of artificial
intelligence, falsifying personal information required during entry or prize
claim, violating any term or condition stated here, accumulating entries
through methods such as automated computer scripts or any other programming
techniques, allowing others to use an entrant’s personal information for the
purpose of accumulating entries, or intentionally trying to defraud, reverse
engineer, disassemble or otherwise tamper with the computer programs/technology
in connection with this Contest. Entrants agree that Sponsor may void the Prize
an entrant may have won and/or require the return of the Prize an entrant may
have won (or its value) as a result of such improper conduct. Entrants further
acknowledge that any forfeiture of the prize and/or return of the Prize shall
in no way prevent Sponsor from pursuing other avenues of recourse such as criminal
or civil proceedings in connection with such conduct.  

14.  Sponsor’s Rights:  Sponsor
reserves the right, in its sole discretion, to cancel, abbreviate, or suspend
this Contest should it be compromised by computer virus, program bugs,
non-authorized human intervention or other causes beyond the control of the
Sponsor, including but not limited to fire, flood, epidemic, pandemic,
earthquake, explosion, labor dispute or strike, act of God or public enemy,
satellite or equipment failure, riot or civil disturbance, war (declared or
undeclared), terrorist threat or activity, or any federal, state or local
government law, order or regulation, order of any court or jurisdiction,
without any compensation or liability to any entrant. Sponsor is not
responsible for any typographical, technical, or other error in the printing of
the offer, administration of the promotion or in the announcement of the Prize.
In the event there is a discrepancy or inconsistency between disclosures or
other statements contained in any Contest materials and the terms and
conditions of the official rules, the official rules shall prevail, govern and
control.  

Sponsor assumes no responsibility for any damage to an
entrant’s or any other person's mobile device or computer which is occasioned
by participating in the Contest or for any computer system, phone line,
hardware, software or program malfunctions, or other errors, failures, delayed
computer transmissions or network connections that are human or technical in
nature. Without limiting the generality of the foregoing, Sponsor is not
responsible for lost, interrupted, inaccessible or unavailable networks, servers,
satellites, Internet service providers, or other connections; or for
miscommunications, failed, jumbled, scrambled, delayed, or misdirected
computer, telephone or cable transmissions; or for any technical malfunctions,
failures, difficulties or other errors of any kind or nature; or for the
incorrect or inaccurate capture of information, or the failure to capture any
information. The preceding expressly includes but is not limited to any
communications sent by or sent to Sponsor which is not properly and timely
received and accessible by Sponsor or its agencies for any reason. Sponsor has
the right, in its sole discretion, to disqualify any individual who is found to
be tampering with the entry process or the operation of the Contest, to be
acting in violation of these Official Rules, or to be acting in an
unsportsmanlike or disruptive manner, or with the intent to disrupt or
undermine the legitimate operation of the Contest, or to annoy, abuse, threaten
or harass any other person, and Sponsor reserves the right to seek damages and
other remedies from any such person to the fullest extent permitted by law.
Sponsor reserves the right to modify, suspend, or terminate the Contest if it
determines, in its sole discretion, that the Contest is technically impaired or
corrupted or that fraud or technical problems, failures or malfunctions or
other causes beyond Sponsor’s control have destroyed or severely undermined or
to any degree impaired the integrity, administration, security, proper play
and/or feasibility of the Contest as contemplated herein. If the Contest is
modified, terminated or suspended, Sponsor will select the winner (if
determined to be feasible in its sole discretion) from all eligible,
non-suspect entries received (if any) or otherwise in a manner determined by
the Sponsor in its sole discretion to be fair, appropriate, and consistent with
these Official Rules. Inclusion in such drawing shall be each entrant’s sole
and exclusive remedy under such circumstances, and, if not feasible, Sponsor
shall not have any liability of any kind. Only the type and quantity of Prize
described in these Official Rules will be available to be won in the Contest.
These Official Rules cannot be modified or amended in any way except in a
written document issued in accordance with law by duly authorized
representatives of Sponsor. The invalidity or unenforceability of any provision
of these rules shall not affect the validity or enforceability of any other
provision. In the event that any provision is determined to be invalid or
otherwise unenforceable or illegal, these rules shall otherwise remain in
effect and shall be construed in accordance with their terms as if the invalid
or illegal provision were not contained herein. 

15.  Disputes:  This Contest is
governed by the laws of the State of Delaware, without respect to conflict of
law/choice of law doctrines of Delaware (or of any other jurisdiction which
would lead to the application of the law of any jurisdiction other than Delaware).
To the fullest extent permitted by law, as a condition of participating in the Contest,
entrants agree (a) that any and all disputes regarding the Contest which cannot
be resolved between the parties shall be resolved individually, without resort
to any form of class action, exclusively before a federal or state court
located in Delaware; (b) to the personal jurisdiction of such courts and to
waive any right of inconvenient forum, change of venue or any like right; (c)
that any claims, judgments and awards shall be limited to actual out-of-pocket
costs incurred in entering the Contest (if any), but in no event attorney’s
fees, with all other forms of remedy – including but not limited to punitive,
incidental, or consequential damages and injunctive relief – being expressly
waived. 

16.  Winner’s List:  For winner’s
list, please send a self-addressed stamped envelope to “Alcolo Dirt Bike Contest”, 1 NH Avenue, Suite 125, Portsmouth, NH 03801. All
requests must be received by September 8, 2025. Winner’s list will be available
after September 8, 2025.

Additional Rules

Entries must meet the following requirements 

·     Entry cannot defame,
misrepresent, or contain disparaging remarks about Sponsor or its products, or
other people, products or companies or communicate messages or images
inconsistent with the positive images and/or goodwill to which Sponsor wishes
to associate. 

·     Sponsor shall have full right
and power to copy, publish, broadcast, display, distribute, use, edit,
translate, alter, combine with other material, reuse and adapt any or all
portions of the Entry in any way and for any purpose whatsoever, at any time,
now or in the future, in any media now known or hereafter devised throughout
the World in any manner whatsoever and for any purpose. 

·     Entry cannot (a) be sexually
explicit or suggestive, violent or derogatory of any ethnic, racial, gender,
religious, professional or age group, profane or pornographic, contain nudity
or any materially dangerous activity; (b) promote the excessive or
irresponsible consumption of alcohol, or promote illegal use of alcohol, drugs,
tobacco, firearms/weapons (or the use of any of the foregoing), any activities
that may appear unsafe or dangerous or any particular political agenda or
message; (c) be obscene or offensive, endorse any form of hate or hate group;
(d) contain an image of anyone under 21 years of age; (e) contain trademarks,
logos or trade dress owned by others, or advertise or promote any brand or
product of any kind (other than Budweiser), without permission, or contain any
personal identification, such as license plate numbers, personal names, email
addresses or street addresses; (f) contain copyrighted materials owned by
others without permission; (g) contain materials embodying the names, likenesses
or other indicia identifying any person, living or dead, without permission; (h)
refer to or depict any names, logos or readily recognizable features of a
retailer of alcohol beverages (such as a grocery store, convenience store,
restaurant, bar, or any other retail location that sells alcohol beverages); or
(i) depict, and cannot itself be in, violation of any law. 

·     Each entrant warrants and
represents that the Entry: (a) is his/her original work, (b) has not been
previously published; (c) has not received previous awards; and (d) does not
infringe upon the copyrights, trademarks, rights of privacy, publicity or other
intellectual property or other rights of any person or entity. 

·     Any entrant whose Entry
includes likenesses of third parties or contains elements not owned by the
entrant (such as, but not limited to, depictions of persons, buildings,
trademarks or logos) must be able to provide legal releases for such use
including Sponsor’s use of such Entry, in a form satisfactory to Sponsor, upon
request, prior to award of prize and/or naming of entrant as a winner. 

·     Any Entry that, in the sole
opinion of Sponsor, is not in accordance with the guidelines as stated herein
or on the Website or is deemed to be inappropriate for publication is
ineligible. 

·     Incomplete, illegible,
deceptive or garbled Entries are not eligible. 

·     Any such entrant will
indemnify and hold harmless, Sponsor from any claims to the contrary. 

By submitting an Entry, you agree that your Entry is
gratuitous and made without restriction, that it will not place Sponsor under
any obligation other than as stated in these Official Rules, that Sponsor is
free to publish or otherwise disclose the ideas contained in the Entry on a
non-confidential basis to anyone or otherwise use the ideas without any
additional compensation to you. You acknowledge that, by acceptance of your
Entry, Sponsor does do not waive any rights to use similar or related ideas previously
known to Sponsor or developed by its employees or obtained from sources other
than you.

 By participating, you acknowledge that your Entry may
be used in Sponsor's sole discretion. Entries are the views/opinions of the
individual entrant and do not reflect the views of the Sponsor in any manner.
By entering, you acknowledge that Sponsor has no obligation to use or post any
Entry you submit.
